Bragg Gaming Nominates Kent Young, Don Robertson, and Ron Baryoseph to the Board of Directors

Bragg Gaming Group announced that it has filed a notice of meeting and management information circular (Circular) in respect of its upcoming annual meeting of shareholders (Meeting) to be held on Thursday, June 22, 2023 at 10:00 am (Toronto Time).
In addition, the Company also announced that there will be three new nominees for election to its board of directors (the Board). The new nominees will replace three existing directors, Paul Godfrey (Chair), Paul Pathak, and Rob Godfrey, who have each opted not to stand for re-election to the Board at the Meeting. Paul Godfrey has entered into a 24-month consulting agreement under which he will provide the Company with advisory services.
Including the new nominees, there will be seven individuals nominated for election to the Board. The election of the three new directors will add significant gaming and financial industry experience to the Board and demonstrates Bragg’s ongoing commitment toward initiatives to further establish the Company as a leading global provider of innovative online gaming content. Set out below are the new nominees together with brief background information on each.
Kent Young
Kent Young is an innovator, entrepreneur, and longtime leader in the global gaming industry. In a career spanning more than 30 years, he has held senior executive positions with Bragg and other prominent companies, including Aristocrat Technologies in Australia and America; and Aruze Gaming America. While at Aristocrat, Mr. Young held several roles including Vice President of Research and Development and Global General Manager of Marketing. In this role, Mr. Young helped spearhead the successful effort to introduce and popularize “penny slots” in the industry and significantly contributed to Aristocrats North American market entry. He has served on multiple industry boards including the Gaming Standards Association. An entrepreneur, Kent successfully founded, built, and sold two gaming technology companies – True Blue Gaming and Spin Games. Kent holds a Bachelor of Commerce degree from James Cook University of North Queensland. He and his wife, Christina, are based in Reno, Nevada, where they are deeply involved in supporting nonprofit organizations with their time, skills, and assets.
Don Robertson (Independent)
Don Robertson has more than 25 years of corporate finance, risk management, and governance experience and is currently serving on the Board of Directors of Orillia Power Generation Corporation. He served as Managing Director and Head of Global M&A at Scotiabank from 2017 to 2022 and as Chief Executive Officer, Canada and Head of Corporate Finance, Americas at Standard Chartered Bank from 2012 to 2016 as well as Managing Director and Head of Canadian M&A at Credit Suisse from 2006 to 2012. Earlier in his career, Mr. Robertson served as a Director at RBC Capital Markets from 1997 to 2006 and Articled at Blake, Cassels & Graydon LLP from 1996 to 1997. He holds a Bachelor of Commerce from Laurentian University, an MBA from the Schulich School of Business at York University, and a JD from the Osgoode Hall Law School at York University. He was called to the Bar of Ontario in 1998.
Ron Baryoseph (Independent)
Ron Baryoseph is a gaming industry veteran with over 30 years of experience in the North American regulated land based and online gaming sectors. Ron is president of RBY Gaming which has provided distribution, sales, and consulting services to companies including Cammegh, Playtech, Inspired Gaming, Suzo Happ, Softweave, e Connect, Tangiamo, Apt Pay, and others. Prior to opening RBY Gaming, Ron served as SVP of Amaya Gaming. During his tenure, Amaya acquired The Stars Group as well as Cadillac Jack which was subsequently sold to AGS. Ron has also held senior positions with Aristocrat Technologies, IGT, TCS John Huxley, and Paulson Gaming Supplies (now GPI). His strategic planning and collaborative style have led to numerous successes.

Bragg Gaming Partners with and Invests in Brazilian Specialist Online Casino Studio RapidPlay

Bragg Gaming Group announced the acquisition of a strategic equity stake in, and the signing of an exclusive content partnership with RAPIDPLAY LTD (RapidPlay), a specialist Brazilian game development studio renowned for its localized, high-performance online casino content tailored to Brazilian and the broader Latin American market.
Founded by a team of veteran iGaming experts with deep roots in the region, RapidPlay has rapidly built a reputation for delivering premium, culturally attuned casino content that resonates with local Brazilian and Latin American players.
Under the terms of the agreement, Bragg receives an equity stake in RapidPlay and has entered into an exclusive commercial distribution agreement with RapidPlay at standard market terms.
The agreement allows Bragg to integrate and offer RapidPlay’s full content portfolio through its expanding base of licensed Brazilian operators.
RapidPlay’s highly efficient cost development model for producing high-quality, localized content is particularly attractive to Bragg, as it supports rapid scalability and margin efficiency—especially valuable in emerging markets like Brazil and the broader LatAm market.
Pursuant to the terms of the agreement with RapidPlay, Bragg also has an option to acquire a controlling interest in RapidPlay, should future strategic conditions align.
All titles developed under this partnership will be powered by Fuze, Bragg’s proprietary engagement technology that features real-time gamification, player retention tools, and promotional capabilities — enhancing both player experience and operator performance.
This partnership builds on Bragg’s rapid expansion in Brazil, where it launched operations on January 1, 2025, and has already partnered with over one-third of the market’s licensed operators.
The Company’s São Paulo office, led by LatAm Regional Director Sara Mosallaee and Senior Account Manager Amanda Alexandrini, delivers fully localized support and expertise to operators across the region.
With Brazil’s newly regulated online casino market expected to generate USD 1.5 billion in 2025, growing to USD 3.7 billion by 2029, Bragg believes that the market could contribute up to 10% of the Company’s total revenue this year—underlining its strategic importance.

Bragg Gaming Enters into Online Casino Content Agreement with Canadian Operator Loto-Québec

Bragg Gaming Group has announced that it has entered into an online casino content agreement with Canadian operator Loto-Québec, the only 100% legal and local casino site in the province of Québec. The agreement marks the expansion of Bragg into its second Canadian province, following Bragg’s prior entry into Ontario in March 2022.
Pursuant to the agreement, Loto-Québec will benefit from access to exclusive content, including titles from Bragg’s in-house proprietary content development studios, a roster which includes Atomic Slot Lab and Indigo Magic, through Bragg Gaming’s Remote Games Server (RGS) technology, delivered via the Bragg HUB platform.
In addition, Loto-Québec players will also be able to access on lotoquebec.com titles from multiple content partners under the Powered By Bragg program, including King Show Games, Bluberi, Incredible Technologies and Sega Sammy Creation.
All content delivered on the Bragg HUB comes with the company’s Fuze promotional tools as standard which offer player engagement features on games such as free rounds, jackpots, tournaments, and quests.
The agreement with Loto-Québec’s online casino supports Bragg Gaming’s strategic goals by accelerating the growth of utilization of Bragg’s exclusive and proprietary content, and the diversification of revenue through expansion into North American markets.

Bragg Gaming Announces Preliminary Unaudited Results for the Year Ended December 31, 2024 and 2025 Strategic Initiatives and Guidance

Bragg Gaming Group announced its preliminary unaudited results for the year ended December 31, 2024 based on information currently available to management and certain strategic initiatives and issued financial guidance for 2025, highlighting anticipated double-digit growth in Revenue and Adjusted EBITDA driven by a strategic focus on proprietary and exclusive content.
Anticipated Full Year 2024 Results Highlights
The Company expects the financial results for full year 2024 to include the following highlights: Revenue not less than EUR 102 million, an increase of 9% from EUR 93.5 million for 2023, Adjusted EBITDA of not less than EUR 15.4 million, an increase of 1% from EUR 15.2 million for 2023.
Anticipated Financial Highlights for 2025
Revenue Guidance: Revenue for the year ended December 31, 2025, is expected to reach between EUR 117.5 million and EUR 123.0 million, representing double digit growth compared to the Company’s anticipated 2024 revenue.
Adjusted EBITDA Guidance: Adjusted EBITDA is forecasted to range between EUR 19.0 million and EUR 21.5 million, supported by a shift toward higher-margin product offerings.
Strategic Business Drivers
The Company is expecting to realize its anticipated 2025 results in part, as a result of certain strategic initiatives, including:

• US Market Penetration: The Company believes that it is strategically positioned for significant growth in the US market by leveraging its proprietary and exclusive content portfolio. Through integration with top-tier operators such as DraftKings, FanDuel, Rush Street, Caesars and BetMGM, and licenses in all key iGaming states, the Company’s content is accessible to over 90% of the US iGaming market, valued at over $9.5 billion, according to H2 Gambling Capital. Under the leadership of Neill Whyte, Chief Commercial Officer, and Garrick Morris, SVP (Commercial, US & Canada), veterans of the iGaming industry with multi-decade successful market penetration experience under their belt, the Company has strong leadership to garner enhanced market share. It is expected that proprietary and exclusive content growth in the US will be further driven by the recently announced technology and content partnership with Caesars Entertainment Inc. This partnership, which leverages the Company’s cutting-edge technology and innovative development strengthens the Company’s profile in a competitive and dynamic market.
• Stronger Penetration in Major European Markets: Bragg aims to expand content distribution in key Western European markets, including Italy, UK, Spain, and Sweden, by leveraging existing integrations with top operators and implementing targeted sales strategies.
• Expand Exclusive Partnerships: The Company plans to increase its roster of partner studios to enhance the release cadence of titles in North America. Additionally, Bragg aims to grow exclusive content distribution in Central European markets, including the Czech Republic and Germany, through strategic partnerships with studios such as Gamomat and King Show Games.
• Stability in PAM Business: The Company’s PAM business is expected to remain flat year-over-year, an overall positive, despite the anticipated contraction of the Netherlands market in 2025 due to regulatory changes made in the fourth quarter of 2024.
• Enhanced Technology Profile: The Company continues to innovate with technologies such as FUZE, which provides bonuses, free rounds, tournaments, jackpots, recommendation engine and other engagement and promotional tools seamlessly across all iGaming, Sportbetting and iLottery products, requiring no additional integration. These advanced features enhance player experience and contribute to the growth of the Company’s product portfolio revenue.

• Stock Appreciation Rights Plan: Bragg has also introduced a new Stock Appreciation Rights (SAR) plan for its executive management team, further aligning management interests with those of shareholders. The SAR plan has been implemented under the Company’s Amended and Restated Omnibus Equity Incentive Plan and pays out only if the Company’s share price increases over a three-year period, with a full payout contingent on achieving a four-fold increase from a base price of $5 CAD. This structure ensures that executive compensation is firmly tied to delivering significant shareholder value. Additionally, the plan includes accelerated vesting provisions in the event of a change of control, preserving alignment with shareholder interests in all value-creation scenarios. SAR award payouts may be settled through the payment of cash, the issuance of shares, or through a combination of both, subject to the discretion of the Company’s Board and availability of shares under the Company’s equity incentive plan at the time.
